Terms of Use – SIYOQ

These terms govern use of SIYOQ, the business messaging service provided by Sioniq Tech Private Limited.
Relationship to our main terms. These terms are specific to SIYOQ and supplement the Sioniq Terms of Use. Where the two conflict in relation to the SIYOQ service, these terms govern. Use of the JOS platform or other Sioniq products is governed by the main terms.
About these Terms
SIYOQ is available to businesses generally and is not limited to any particular trade. The service is under development and not yet generally available; these terms apply from the date Sioniq makes the service available to You, and availability is subject to the approval processes of the applicable platform operator.

Parties and Acceptance
These terms are between You and Sioniq Tech Private Limited, registered at 8-2-293/82/A/1107, Plot No. 1107, Road No. 55, Jubilee Hills, Hyderabad, Telangana 500 033, India (“Sioniq”, “we”, “us”).
“You” or “Customer” means the business entity that subscribes to the service. “End Customer” means a person You communicate with using the service. “Platform Operator” means the operator of a messaging platform You connect, including Meta Platforms, Inc. in respect of the WhatsApp Business Platform.
By subscribing, signing an order form, or using the service, You accept these terms. Where a signed agreement exists between us, that agreement prevails on conflict. You confirm that You are a business, that the person accepting is authorized to bind You, and that You are not using the service as a consumer.
The Service
SIYOQ enables a business to send and receive customer communications using its own authorised messaging account, and to manage message templates, consent records, conversations, delivery status and reporting. It is available as part of the JOS platform and as a standalone service over API.
We may modify, add or withdraw features. Where a change materially reduces core functionality we will give reasonable notice.
You are the Sender
You connect and authorize Your own messaging account and Your own sender phone number. Every message sent through the service is sent in Your name and on Your instruction. Sioniq does not send from a shared number and is not the sender of Your messages. Account standing with the Platform Operator rests with You.
You must provide accurate business information for verification, and maintain ownership of or authorisation over the account, business assets and telephone numbers You connect. Connecting a third-party service does not transfer to You any ownership of that platform, account, business asset, telephone number or intellectual property.
Consent and Acceptable Use
This section is the core of the agreement. Breach of it is grounds for immediate suspension.
Consent
You may message an End Customer only where that person has given consent to be contacted on that number for that category of message, and where You can evidence when and how consent was obtained. You must honor every opt-out request promptly and must not message a person who has opted out.
You must not
- Message numbers obtained from purchased, rented, scraped or other third-party lists.
- Send promotional content to recipients who consented only to transactional messages, or send promotional content using a template approved for a utility or service purpose.
- Send unlawful, misleading, defamatory, obscene, harassing, fraudulent, phishing or infringing content, or content that misrepresents Your identity or Your business.
- Send content that violates applicable law, including consumer protection, advertising standards, and any law applicable to Your trade.
- Use the service for lending, deposit-taking, unregistered savings schemes, or any financial activity You are not authorized to conduct.
- Attempt to circumvent template approval, consent checks, suppression lists or messaging limits, or send bulk unsolicited messages.
- Use the service to message children, or to process sensitive personal data such as identity numbers, payment card details or health information.
- Reverse engineer, scrape, overload, or interfere with the service or its infrastructure.
You must comply with the Platform Operator’s applicable policies, including the WhatsApp Business Messaging Policy and Commerce Policy as amended from time to time. You are solely responsible for the content and lawfulness of Your communications.
Platform Operator Control
The service depends on a messaging platform operated by a third party. Accordingly:
- Business verification, display name approval, template approval, message categories, messaging limits and quality ratings are determined by the Platform Operator, not by Sioniq. We assist; we do not decide, and we cannot guarantee an outcome or a timeline.
- The Platform Operator may restrict, suspend or terminate Your messaging account or sender number, or change platform rules and charges, at its discretion. We are not liable for the consequences.
- Message delivery depends on the Platform Operator, the recipient’s device and network, and whether the recipient uses the relevant service. We do not guarantee that any message will be delivered, read or acted upon, or that any template will be approved.
- Data necessary for delivery is transmitted to and processed by the Platform Operator. See the SIYOQ Privacy Policy.
Sioniq is an independent software company, is not affiliated with or endorsed by Meta, and does not resell WhatsApp. Our access to the platform is itself subject to the Platform Operator’s approval, and the service is offered subject to that access being granted and maintained.
Accounts and Access
You are responsible for the accuracy of the business information You provide, for Your users’ credentials, for setting appropriate permissions, and for all activity under Your account. Notify us promptly at security@sioniq.com of any suspected unauthorized access. You must not share credentials, resell access, or permit use by another business unless we agree in writing.
Your Data
You retain all rights in Your business data, customer records and message content. You grant us a limited license to host, process and transmit that data solely to provide, secure and support the service, and as described in the SIYOQ Privacy Policy.
Where we process personal data on Your behalf we act as Your Data Processor and You act as Data Fiduciary. You are responsible for having a lawful basis for that processing, for the notices You give Your End Customers, and for handling their rights requests. We will assist as described in the privacy policy.
You may export Your data at any time during the term. On termination we will make it available for thirty (30) days and then delete it in accordance with our retention schedule.
Fees and Charges
Two separate charges apply, and You should read them as separate:
- SIYOQ fees — the subscription, onboarding and support fees set out in Your order form, payable in advance on the stated cycle, exclusive of GST and other taxes which You bear.
- Conversation charges — charges levied by the Platform Operator for message delivery. These are set by that operator, vary by message category and country, are billed on actual usage, and may change without our involvement. Where Sioniq invoices such charges to You, they are shown as a separate line on Your invoice.
Invoices are payable within fifteen (15) days. Overdue amounts may attract interest at the rate stated on the invoice, and we may suspend the service after written notice. Fees paid are non-refundable except as required by law or as set out in the published Cancellation & Refund Policy. We may revise SIYOQ fees on thirty (30) days’ notice, effective at Your next renewal.
Availability and Support
We aim to keep the service available and provide support during 10:00 to 19:00 IST, Monday to Saturday, via info@sioniq.com. Any committed service levels are those stated in Your order form; absent such a commitment the service is provided on a reasonable-efforts basis. We may carry out maintenance, with advance notice where practicable.
Suspension
We may suspend or restrict Your access, in whole or in part, immediately and without liability, where we reasonably believe that: You have breached section 5; Your use threatens the security, integrity or standing of the service or of another customer; the Platform Operator requires or indicates it; a legal or regulatory obligation requires it; or Your account is materially overdue. We will tell You why and, where the cause is curable, what is needed to restore access.
Intellectual Property
Sioniq and its licensors own all rights in the service, including the software, interfaces, documentation, templates we supply, and the SIYOQ and Sioniq names and marks. You receive a non-exclusive, non-transferable right to use the service during the term for Your internal business purposes. Feedback You give us may be used without restriction or obligation.
WhatsApp and Meta are trademarks of Meta Platforms, Inc. Nothing here grants either party rights in the other’s marks.
Warranties
Each party warrants that it has authority to enter into this agreement. We warrant that we will provide the service with reasonable skill and care. Except as expressly stated and to the extent permitted by law, the service is provided “as is” and we disclaim all other warranties, including fitness for a particular purpose, uninterrupted or error-free operation, and any warranty regarding outcomes such as message delivery, template approval, platform access or commercial results.
Limitation of Liability
Neither party excludes liability that cannot be excluded by law, including for death or personal injury caused by negligence, or for fraud.
Subject to that, neither party is liable for indirect, incidental, special or consequential loss, loss of profit, revenue, goodwill, business, anticipated savings or data, however arising.
Subject to the above, our total aggregate liability arising out of or in connection with this agreement is limited to the SIYOQ fees paid by You in the twelve (12) months preceding the event giving rise to the claim.
We are not liable for loss arising from: action taken by a Platform Operator in relation to Your account, number, templates or the platform; rejection or delay of template or verification approval; Your breach of section 5; the content of Your messages; or the acts of Your End Customers.
Indemnity
You will indemnify us against claims, losses, fines and reasonable costs arising from Your breach of section 5, the content of Your messages, Your failure to obtain or honour consent, Your breach of applicable law or of the Platform Operator’s policies, and any claim by an End Customer relating to communications You sent.
Term and Termination
The agreement runs for the term in Your order form and renews for successive equal terms unless either party gives thirty (30) days’ written notice before the end of the current term. Either party may terminate for material breach not cured within fifteen (15) days of written notice, or immediately on the other’s insolvency.
We may terminate on sixty (60) days’ written notice if our access to the messaging platform ceases, with a pro-rata refund of prepaid SIYOQ fees for the unused period.
On termination Your access ends, sending stops, messaging credentials are revoked, and You may export Your data during the export window in section 8. Accrued charges remain payable. Sections 8, 12, 14, 15 and 17 survive.
General
These terms, with any order form and the Sioniq Terms of Use, are the entire agreement between us. No waiver arises from delay in enforcement. If a provision is unenforceable the rest continues in effect. You may not assign without our written consent; we may assign to an affiliate or a successor in business. Neither party is liable for delay caused by events beyond its reasonable control. Notices are given in writing to the addresses in Your order form or to info@sioniq.com. There is no partnership, agency or joint venture between us.
Each party will keep the other’s non-public information confidential, use it only for the purposes of this agreement, and protect it with at least reasonable care.
This agreement is governed by the laws of India, and the courts at Hyderabad, Telangana have exclusive jurisdiction, subject to any arbitration agreement recorded in Your order form.
We may update these terms. Material changes take effect at Your next renewal or on thirty (30) days’ notice; continued use after that constitutes acceptance.
